1. Who these terms apply to

These terms apply to:

• Anyone who creates an Oleno account.
• Anyone who uses Oleno for themselves or for a company.
• Any organization that allows its employees, contractors, or clients to use Oleno.

If you accept these terms on behalf of a company, you confirm you have authority to bind that company.

You must be at least 18 years old to use Oleno.

2. What Oleno does

Oleno is a hosted, multi-tenant SaaS product. It:

• Ingests your knowledge base and website content to ground all output in your real product and customers.
• Lets you define governance rules across Brand, Marketing, Product, and Design Studios so output stays consistent.
• Discovers topics automatically through a Topic Universe system and expands them across audiences, personas, and use cases.
• Generates demand-gen content across the full buyer journey — including SEO articles, competitive comparisons, category thought leadership, product marketing, and customer proof content.
• Writes in your brand voice using your governed positioning, narrative frameworks, and product boundaries.
• Runs automated quality gates before anything publishes — checking voice alignment, factual grounding, structure, and clarity.
• Optionally generates brand-consistent hero images.
• Publishes to your CMS (WordPress, Webflow, HubSpot, Storyblok, Framer, Wix, and others) as draft or live.
• Generates social content from approved articles for distribution across channels.

We may add, change, or remove features over time. The version of Oleno you see in the app or in our docs is the current version.

3. Beta status and "as-is" use

Oleno is still in beta.

That means:

• The service may have bugs or gaps.
• Features may change, ship, or be removed without notice.
• Performance and uptime are best effort with no formal SLA.

You use Oleno "as is" and "as available":

• We do not promise error-free operation.
• We do not promise specific SEO rankings, traffic, or revenue.
• We do not guarantee articles will be compliant with any law or regulation.
• You should not rely on Oleno for safety-critical or life-critical uses.

4. Your account and security

You are responsible for:

• Keeping your login credentials secret.
• Ensuring only authorized people can access your account.
• All activity that happens in your account.

If you suspect unauthorized access, you must change your password and notify us as soon as possible.

5. Your content and rights

"Your Content" includes:

• Knowledge base files you upload.
• Text and data we scrape from your site (if you enable it).
• Your brand settings, examples, and narrative frameworks.
• The articles, briefs, images, and other outputs that Oleno generates for your sites.

You keep full ownership of Your Content.

You grant SalesMVP Lab a worldwide, non-exclusive license to host, process, copy, and transmit Your Content as needed to:

• Run Oleno.
• Generate and publish content for you.
• Maintain backups and logs.
• Comply with law.

We do not sell Your Content to third parties and we do not use Your Content to train our own or third-party AI models, other than transient processing needed to provide the service.

You are responsible for making sure you have all rights and permissions needed to upload and use Your Content in Oleno.

6. Platform IP and usage limits

We own the Oleno platform and all related IP, including:

• The software, code, and architecture.
• The Topic Universe system, Governance Studios, and execution engine as implemented in Oleno.
• Prompts, templates, and internal configurations.
• Our logos, branding, and documentation.

You agree not to:

• Reverse engineer, copy, or resell Oleno.
• Try to extract or recreate our internal prompts or algorithms.
• Use Oleno outputs to train competing AI models at scale.
• Bypass technical limits or create fake accounts to avoid plan limits.

We grant you a limited, non-exclusive, non-transferable right to access and use Oleno for your internal business use, subject to these Terms and your plan limits.

7. Prohibited use

You may not use Oleno to generate or publish content that is:

• Illegal in any jurisdiction that applies to you or us.
• Harmful, abusive, or harassing.
• Child sexual abuse material (CSAM) or exploitation.
• Terrorism or violent extremism.
• Malware, phishing, or other security attacks.
• Large-scale copyright or trademark infringement.

You also may not:

• Use Oleno for spam, fake reviews, scams, or deceptive marketing.
• Attempt to break, overload, or bypass Oleno's security or limits.
• Use Oleno for regulated advice (medical, financial, legal, etc.) without review by a qualified expert.

We may suspend or terminate your account if we believe you are breaking these rules or the law.

8. AI-generated content and your responsibilities

Oleno uses large language models (LLMs) and other AI systems. AI has limits:

• It can produce errors or outdated information.
• It can reflect bias.
• It can sound confident while being wrong.

We reduce these risks using your knowledge base, QA checks, and clear rules, but we cannot remove them entirely.

You are responsible for:

• Reviewing content before or after publication, depending on your settings.
• Verifying key facts, especially in regulated industries.
• Adding any required disclaimers or notices.
• Making sure your content complies with all laws that apply to you.

Oleno does not provide legal, medical, or financial advice. Any such content generated by Oleno must be reviewed and approved by qualified humans on your side.

9. Plans, billing, and refunds

9.1 Plans and pricing

Oleno uses monthly subscription pricing. Current pricing starts at USD $199/month and is available on our pricing page.

Each active website requires its own subscription. Custom enterprise pricing is available for multi-site deployments.

9.2 Payment

• Payments are processed by Stripe.
• We do not store your credit card number on our servers.
• Subscriptions renew automatically at the end of each billing period unless cancelled.

By starting a paid plan, you authorize Stripe to charge the payment method you provide for the applicable fees and renewal fees.

9.3 Upgrades and downgrades

You can change your plan tier at any time:

• Upgrade: You are charged a prorated amount for the rest of the billing period.
• Downgrade: Takes effect from the next billing period.

Plan changes adjust your daily publishing capacity accordingly.

9.4 Cancellation and refunds

You may cancel your subscription at any time via the billing portal. When you cancel:

• Service continues until the end of the current billing period.
• We do not provide automatic refunds for partial months.
• We may offer a refund or credit at our discretion in case of serious technical issues.

After cancellation, we may keep your data for a limited time as described in the Privacy Policy, then delete it.

10. Service availability and changes

We aim to keep Oleno available and reliable. However:

• We may suspend or limit the service for maintenance, security, or technical reasons.
• We may change or discontinue features without prior notice.

We are not liable for downtime, delays, or data loss caused by:

• Third-party providers (e.g., OpenAI, Supabase, your CMS, your hosting).
• Network or internet issues.
• Factors outside our reasonable control.

If we discontinue Oleno entirely, we will aim to give you reasonable notice and a chance to export your content.

11. Termination

You can stop using Oleno at any time and cancel your plan.

We may suspend or terminate your access if:

• You violate these Terms.
• You do not pay fees when due.
• We believe your use creates security or legal risk.

On termination:

• Your license to access Oleno ends.
• We may delete your account and data after a retention period, as explained in the Privacy Policy.

Sections that should logically survive (for example, IP ownership, limitations of liability, and governing law) will continue to apply.

12. Disclaimers

To the maximum extent allowed by law:

• Oleno is provided "as is" and "as available".
• We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We do not warrant that Oleno will be uninterrupted, error-free, or fully secure.
• We do not warrant any SEO rankings, traffic, or business results.

Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

13. Limitation of liability

To the maximum extent allowed by law:

• SalesMVP Lab and its directors, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages.
• This includes lost profits, revenue, data, or business opportunities, even if we knew they were possible.

Our total liability for all claims related to Oleno in any 12-month period is limited to the amount you paid us for the service in that same period.

Some places do not allow such limits. In those cases, we will limit liability to the smallest amount allowed by law.

14. Indemnity

You agree to indemnify and hold SalesMVP Lab harmless from any claims, damages, losses, or costs (including reasonable legal fees) arising from:

• Your use of Oleno.
• Your Content and any content published to your CMS.
• Your violation of these Terms or of any law or third-party right.

15. Governing law and disputes

These Terms are governed by the laws of Nova Scotia and the federal laws of Canada, without regard to conflict of law rules.

Any dispute will be handled by the courts of Nova Scotia, Canada, and you agree to their jurisdiction, except where applicable law gives you a mandatory right to a different forum.

16. Changes to these Terms

We may update these Terms from time to time.

If we make material changes, we will notify you by email, in-app notice, or an update on our site.

If you continue to use Oleno after changes take effect, you accept the new Terms.
